General Corporate Practice

Formation of (over 150 to date) for profit, nonprofit, and BVI corporations in California, Nevada, Delaware and other jurisdictions. Formation of (over 50 to date) partnerships, limited partnerships, and limited liability companies in California, Nevada and other jurisdictions.

Act in the capacity of general legal counsel (both in house and outside).

Counsel clients regarding choice of entity, corporate governance, and the right and duties of officers, directors and shareholders.

Preparation and review of all proxy material and other material for annual meeting and/or special meetings.

Preparation and review of all corporate minutes and resolutions.

Drafting and review of partnership agreements, joint venture agreements, stock purchase agreements, warrants, shareholders’ agreements, employment agreements, promissory notes, security agreements, licensing agreements and other documents.

Advise clients about commercial transactions, such as secured transactions and negotiable instruments.

Supervise outside counsel in litigation, worker’s comp, and labor dispute resolution and other matters.
